2. Information on the Project

Project Description:
The loan to Aztelekom LLC ("Aztelekom" or the "Borrower"), a state-owned company that provides telecommunication, internet and broadband services in Azerbaijan. The Bank will support the upgrade to fibre of the broadband infrastructure in the regions of Azerbaijan, replacing outdated technology with modern multiservice platforms, deployment of new backbone infrastructure and fixed wireless communication bases in remote settlements.

3. Other Information

To bridge the digital divide in the community, Ministry of Digital Development and Transport of the Republic of Azerbaijan targets to deliver high-speed broadband infrastructure to all households across the full territory of the country. In line with the Ministry targets, AZTELEKOM LLC, Azerbaijan national provider for the telecommunication services, (“the Company”) aims to embark on a significant Fiber-to-the-Home (FTTH) network deployment in regions, in scope of which the company shall provide ~280,000 households with fibre internet access in total, of which first 146,000 are to be delivered within 12 months following the start of works as per the awarded contract.

In this respect, the Project will require the procurement of the following goods, works and services:
• Plant, Design & Build works and Material supply for FTTH network deployment in selected regions of Azerbaijan.

Loan from the EBRD shall be used to fund specifically the telecom construction works to be performed by plant, design and build contractors that will be selected by AZTELEKOM following a streamlined and transparent tender process. To monitor and audit the deployment works by awarded contractors, AZTELEKOM shall also engage an independent technical supervisor ('Engineers' in terms of FIDIC), which are to be funded separately by the Company’s own financial resources. To be in line with other Project's activities financed by EBRD, though Engineers are to be selected with the tender process based on the legislation of the Azerbaijan Republic, Terms of Reference for supervision services and the selected Engineer are to get "No Objection" from the Bank.
The proposed Project (AZTELEKOM FTTH Project) has an estimated cost of USD 50 million (AZN 85 million equivalent) total, which will be financed with 2 separate tranches USD 25 million (AZN 42.5 million equivalent) each, whereas the disbursement of the 2nd tranche is not committed and subject to confirmation.

The procurement process is planned to be initiated during the 2nd Quarter of 2023. Contracts to be financed with the proceeds of a loan from the Bank will be subject to the Bank's Procurement Policies and Rules and will be open to firms from any country.
The proceeds of the Bank's loan will not be used for the purpose of any payment to persons or entities, or for any import of goods, if such payment or import is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations or under a law of official regulation of the Purchaser's country.
