1. Contract Details


Contract Title: Bus network restructuring and implementation including traffic integration, contracting and PSC monitoring

Contract Description: On 22 December 2022, EBRD (in its capacity as lender) entered into a loan agreement (the "Loan Agreement") with N.P.K. Trafiku Urban SH.A. (in its capacity as borrower) pursuant to which EBRD agreed to lend an amount not to exceed EUR 10,000,000 (ten million Euro, the "Loan") to support its investment plan to improve its service levels by purchasing of up to 30 additional buses, comprising of 24 Euro VI buses and 6 battery electric buses and related charging infrastructure (the "Project"). On 15 December 2022, EBRD entered into a project support agreement (theProject Support Agreement) with the Borrower and the Recipient pursuant to which the Recipient has agreed to provide support to the Project and the Borrower in meeting its obligations under the Loan Agreement. Pursuant to Article 20 of the Agreement Establishing the European Bank for Reconstruction and Development, EBRD and the Government of Sweden (the "Donor") have established the SIDA-EBRD Municipal Environment and Climate Programme Account II (the "Account") which EBRD manages and administers. Further to the terms and conditions governing the Account, EBRD has agreed to extend a grant in an amount of up to EUR 450,000 from the resources of the Account, on the terms and conditions set forth in this Agreement, to the Recipient to select and engage a consultant by entering into a contract (the "Consultancy Contract") pursuant to which the consultant will provide technical assistance to the Recipient, described further herein (the "Consultancy Services").
